1. Agreement
These Terms of Service form a binding agreement between you (and the organisation you represent) and Connect Technologies Ltd, trading as Cloud Halo ("Cloud Halo", "we", "us"), a company registered in England and Wales with company number 11224965 and registered office at 128 City Road, London, England, EC1V 2NX. If you use the service on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, do not use the service.
2. The service
Cloud Halo is an Azure FinOps platform that connects to your Azure environment with read-only access to provide cost visibility, budgets, alerts, anomaly detection, forecasting, allocation, recommendations, and reporting. We may update, improve, or change features over time.
3. Accounts and eligibility
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and for activity under your account.
- You must be able to form a binding contract and use the service only for lawful business purposes.
4. Trials, plans, and billing
- New workspaces may start a 14-day trial. A payment method is collected securely by our payment provider at sign-up.
- Unless cancelled before the trial ends, your selected plan begins and the subscription renews automatically for successive periods until cancelled.
- Fees are charged in advance and are stated exclusive of any applicable taxes (such as VAT), which we add where required.
- We charge a flat plan fee and never take a percentage of your Azure spend.
- You can cancel at any time through the customer portal; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law.
- Plan limits (such as subscriptions, users, client workspaces and report entitlements) apply as described on our pricing page or order form.

5. Order terms, refunds, and cancellations
- When you place an order or start checkout, you confirm you are authorised to buy the selected plan for your organisation.
- Self-serve checkout requires you to accept the current order terms before checkout opens; the accepted version and timestamp are stored against the workspace billing record.
- Self-serve subscriptions continue until cancelled. You can cancel through the customer portal or by contacting support if the portal is unavailable.
- Cancellation takes effect at the end of the then-current billing period. The service remains available until that date, subject to these terms.
- Fees already paid are non-refundable except where required by law or expressly agreed by Cloud Halo in writing.
- If you upgrade, downgrade, or change billing interval through the customer portal, the payment provider may apply proration or other billing adjustments shown during the change flow.
- MSP Launch and Scale outcomes describe operational deliverables and platform limits; they do not guarantee a specific level of Azure savings.
6. Acceptable use
You agree not to:
- Use the service unlawfully or in breach of third-party rights.
- Attempt to gain unauthorised access to the service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the service.
- Reverse engineer or resell the service except as expressly permitted (for example, MSP plans).
7. Your data and Azure access
You retain all rights to your data. You grant Cloud Halo the rights needed to process your data to provide the service. You are responsible for your own Azure environment, the access you grant, and ensuring you are permitted to connect it. Our processing of personal data within your data is governed by our Privacy Policy and Data Processing Addendum.
8. Intellectual property
Cloud Halo and its licensors own all rights in the platform, software, and brand. These terms do not transfer any of our intellectual property to you. Feedback you provide may be used to improve the service without obligation to you.
9. Third-party services
The service relies on third parties including Microsoft Azure, our payment provider, and others. Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.
10. Disclaimers
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties. Cost figures, forecasts, anomaly detection, and recommendations are informational aids and do not constitute financial advice; you are responsible for decisions made using them.
11. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, and our total liability arising out of or related to the service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.
12. Term and termination
These terms apply while you use the service. You may stop using and delete your account at any time. We may suspend or terminate access for material breach, non-payment, or where required by law. On termination, your right to use the service ends and we handle your data as described in our Privacy Policy and DPA.
13. Changes to these terms
We may update these terms. For material changes we will provide reasonable notice. Continued use after changes take effect constitutes acceptance.
14. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any mandatory consumer protections in your country of residence.
